Outline Terms and Conditions of ControlsPlus Solutions Ltd

• Payment within 30 days unless otherwise specified on the invoice. First order from new customers prepayment only unless full credit checks have been implemented and passed.
• Late payment may be subject to a surcharge of 1.5% per calendar month and may result in a surcharge on your next order. Invoices overdue by 6 months from date of issue will lead to all further purchases being on the basis of pre-payment only.
• All goods remain the property of ControlsPlus Solutions Ltd until fully paid for, including any outstanding late payment charges, delivery charges, or other costs.
• Software, including driver software, is licensed and not sold. You are purchasing a license or unlock code which permits you to use the software, you are not purchasing the software code nor any of the information contained in the software application. You may not under any circumstances reverse engineer any part of the software nor attempt to defeat the unlock or circumvent the license.
• All software is supplied “as is” and no fitness for purpose is implied. Building management systems and installations vary widely and suitability for purpose depends on the entire system (including design, installation, initial set-up and adjustment, maintenance and other factors). The software must be configured for each system individually by the installer, configuring the software correctly is solely the responsibility of the purchaser of the license or unlock code to use the software.
• In the case of software where a run-time-limited trial version is available the fitness for purpose and suitability for the specific application must be established by the installer using the trial version before an unlock is purchased.
• The installer is solely responsible for ensuring that personnel are fully trained in the installation and use of hardware and software purchased from ControlsPlus Solutions Ltd. This includes any mandatory or optional paid-for training and/or certification by original suppliers of equipment and software. Failure to complete training or certification for any reason will not be considered as grounds for refunding either purchases or licenses/unlocks.
• Software licenses or unlock codes delivered electronically can only be cancelled for items where the license can be revoked, in accordance with the terms of the original vendor (the supplier to ControlsPlus Solutions Ltd). Software for which a license or unlock cannot be revoked cannot be refunded under any circumstances as there is no way to cancel the sale.
• For software linked to the Host ID of a controller, a computer, or a building management system, or a similar unique identifier, it is the sole responsibility of the purchaser to supply the correct Host ID, or other identifier, of the system where the software products will be installed and used.
• Physical goods correctly supplied will be subject to a re-stocking charge if returned for credit in an “as new” condition including all original packaging also in "as new" condition. Damage in transit and lost or damaged packaging will be charged. All shipping costs will be due, plus a re-stocking charge of 20%
• Goods issued where the invoice states "sale or return" must be returned in "as new" condition including all original packaging, to arrive within the specified number of calendar days, if they are to be credited.
• Liability is strictly limited to replacement of faulty goods, or refund if replacement is unavailable.
• NO LIABILITY WHATSOEVER for consequential or subsequent losses or damages, however caused, will be accepted.
• ControlsPlus Solutions Ltd sells only to qualified System Integrators who are able to support end user customers. Purchasers must have the knowledge, expertise and skills to correctly install and set up hardware and software (including all regulatory compliance and any certification required) and to support the end user customers who will be using the systems.
